Formation & Structuring

Entity formation in any state, with the structure tuned to your tax, governance, and investor expectations. Founder vesting and equity allocations, shareholder and operating agreements, conversions and reorganizations, and the cap-table mechanics that come with each.

Venture Financings & Securities

SAFEs, convertible notes, and priced equity rounds. Form D filings, EDGAR setup, and ongoing securities compliance for issuers and registered filers. We coordinate with investor counsel and tax advisors to close clean rounds without surprises down the line.

Equity Compensation

Stock option plans (ISO and NSO), restricted stock grants, RSUs, and phantom equity programs. 409A coordination, 83(b) elections, vesting design, and grant documentation that holds up in M&A diligence. We design plans that work for founding teams, fund-qualified rounds, and long-tenured operators alike.

Commercial Contracts & IP

MSAs, SOWs, licensing agreements, PIIAs, development agreements, NDAs, and strategic partnership documents. Trademark registration and prosecution. We draft and negotiate with your business model in mind and your fallback positions worked out before you reach the table.

Outside General Counsel

Ongoing corporate, transactional, and board-level counsel for venture-backed startups and established private companies. Predictable flat fee engagements, direct senior-attorney access, and a lawyer who knows your business, not a rotating cast of associates.

M&A & Restructurings

Acquisitions, divestitures, spinouts, recapitalizations, debt-for-equity conversions, and orderly dissolutions. From letter of intent through closing and post-closing integration, including the cap-table and equity-comp work that goes with each.

Executive Representation

Senior executives, founders, and key hires navigating offer letters, employment agreements, equity packages, restrictive covenants, and separation agreements. We sit on your side of the table.

How We Work

  1. Initial conversation. Schedule a call or Zoom meeting to discuss your business and the questions in front of you. We spend about an hour on scope, fit, and approach.

  2. Engagement proposal. Within one business day, you receive a written proposal outlining the work, the timeline, and a defined fee. Engagements are structured as flat fees for discrete projects or hourly billing for specialized matters.

  3. Signed letter, work begins. Once the engagement letter is signed, work begins immediately, with direct senior-attorney access throughout the engagement.
